These terms apply to the use of orvynexe.com and to services supplied by ORVYNEXE LIMITED, a company registered in England and Wales (No. 17530814) with its registered office at 2nd Floor College House, 17 King Edwards Road, Ruislip, London, United Kingdom, HA4 7AE.
Services
We provide paid social advertising services as set out in a written proposal or statement of work ("SOW"). The SOW takes precedence over these terms where they conflict.
Fees and payment
- Management fees are invoiced monthly in advance and payable within 14 days.
- Advertising spend is paid by the client directly to the platform unless agreed otherwise.
- All prices exclude VAT unless stated. Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.
Client responsibilities
You must provide timely access to accounts and assets, ensure materials you supply do not infringe third-party rights, and comply with each platform's advertising policies.
Results
Advertising performance depends on factors outside our control. We do not guarantee specific results, sales or return on ad spend.
Intellectual property
On full payment, you own the creative assets produced specifically for you. We retain ownership of our methods, templates and know-how.
Liability
Nothing limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law. Otherwise our total liability is limited to the fees paid in the 3 months before the claim.
Term and termination
Unless the SOW states otherwise, agreements have a 3-month minimum term then continue monthly until terminated on 30 days' written notice.
Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
